1. Acceptance of Terms

By accessing or using Kupydo ("Service", "Platform") operated by Kupydo ("we", "us", "our"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

2. Description of Service

Kupydo is a community platform that allows users to connect, chat, and share through channels organized by topics and interests. Our Service includes:

  • Creation and participation in chat channels
  • User profiles and community features
  • Basic safety tools and moderation features
  • Wallet top-ups to send tips to Jolt Members

The Service is offered globally and operated from Canada. Registered Users may create one public channel and cannot sell paid channels. Only Jolt Members may receive tips, and where paid channel sales are offered, only Jolt Members may sell paid channels.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 13 years old to use Kupydo. Users under 18 should have parental or guardian permission before using our Service. If you are under the age of digital consent in your country, you must have your parent or guardian’s consent to use the Service.

3.2 Account Types

  • Registered User: Free account with basic features
  • Jolt Member: Paid subscription with premium features including paid channel creation, unlimited channel joins, and ad-free experience

3.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. User Conduct and Prohibited Activities

4.1 Acceptable Use

You agree to use Kupydo in compliance with all applicable laws and regulations and in accordance with our Channel Rules.

4.2 Prohibited Content and Activities

You may not:

  • Post illegal, harmful, threatening, abusive, harassing, defamatory, hateful, or discriminatory content
  • Share content that violates intellectual property rights
  • Engage in spam, phishing, or fraudulent activities
  • Impersonate others or create fake accounts
  • Share private information of others without consent or legal basis
  • Upload malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Post sexual content involving minors, or engage in grooming or sexualization of minors
  • Promote self-harm, suicide, terrorism, or violent extremism

4.3 Enforcement

We may investigate violations and take appropriate action, including content removal, account restriction, suspension, or termination. We do not pre-screen all content but may review, moderate, or remove content that violates these Terms or applicable law. We may also report content involving child safety, threats of violence, or other serious harm to law enforcement when required or appropriate.

5. Content and Intellectual Property

5.1 User Content

You retain ownership of content you post. By posting, you grant Kupydo a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your content solely for operating, providing, improving, and promoting the Service. This license ends when you delete your content from the Service, except to the extent your content has been shared with others who have not deleted it, or where retention is required for legitimate business purposes (e.g., dispute resolution, safety) or by law. We may retain backup copies for a limited time.

5.2 Platform Content

All Kupydo intellectual property, including software, design, trademarks, and proprietary features, remains our exclusive property.

5.3 Copyright Policy

We respond to valid copyright infringement notices under applicable laws, including the U.S. Digital Millennium Copyright Act (DMCA) and Canada’s notice-and-notice regime. To submit a notice, contact legal@kupydo.com with sufficient detail to identify the copyrighted work, the allegedly infringing material, and your contact information. We may remove or disable access to reported content and may terminate repeat infringers.

6. Paid Services and Payments

6.1 Jolt Membership

Jolt Membership is a paid subscription billed monthly and automatically renews unless cancelled. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Benefits include an ad-free experience, unlimited channel joins, the ability to receive tips from other users, and the ability to create multiple channels. Where paid channel sales are offered, only Jolt Members may sell paid channels. Registered Users cannot sell paid channels.

6.2 Wallet Top-Ups and Tips

Registered Users can top up their wallet to send voluntary tips to Jolt Members. Tips are not required to access public channels and are not payments for goods or services. Kupydo does not take a site fee on tips. Jolt Members may incur PayPal fees or other third‑party withdrawal fees when withdrawing tip balances; such fees are charged by the payment provider and are not retained by Kupydo. Transactions between users are at your own risk; Kupydo is not responsible for any losses, scams, or failed services resulting from such transactions. If provided with proof of fraud or scamming, we may suspend or ban the offending user, but we are not liable for lost payments or refunds.

6.3 Withdrawals

Jolt Members may withdraw available tip balances to a supported PayPal account. To withdraw funds or tips, Jolt Members must be at least 18 years old, as required by PayPal and similar payment services. Users under 18 can access Jolt features but cannot withdraw funds. Withdrawals are subject to the payment provider’s terms, verification, and applicable fees, and processing times may vary. We may require identity verification and may delay, deny, or reverse a withdrawal to comply with law, manage risk, or investigate fraud or abuse.

6.4 Refunds

  • Jolt Membership: Payments are non-refundable except as required by applicable consumer protection laws or where we provide a refund at our discretion.
  • Tips and Wallet Top-Ups: Wallet top-ups and delivered tips are generally non-refundable and non-reversible, except in cases of error, unauthorized use, or where required by law. If a tip is refunded or charged back, we may deduct the amount from the recipient’s balance.

6.5 Compliance

You agree not to use wallet funds or tipping for illegal activities, money laundering, or prohibited transactions. We may suspend or close accounts that violate these Terms.

6.6 Paid Channel Access

When you purchase access to a paid channel, the payment is a one-time fee. This fee grants you ongoing access to that channel for as long as the channel remains hosted and available on Kupydo by the channel owner. Paid channels are not subscriptions and do not automatically renew, unlike Jolt Membership.

7. Privacy and Data Protection

7.1 Data Collection

We collect and process personal data as described in our Privacy Policy, which is incorporated into these Terms.

7.2 GDPR Compliance

For users in the European Economic Area (EEA), the United Kingdom, and Switzerland, we comply with applicable data protection laws, including the GDPR and UK GDPR. This includes respecting your rights to access, rectify, delete, restrict processing, object, and port your personal data, and to withdraw consent where processing is based on consent. International transfers are protected by appropriate safeguards such as Standard Contractual Clauses. Details are provided in our Privacy Policy.

7.3 Data Security

We implement appropriate technical and organizational measures to protect your personal information.

8. Platform Availability and Modifications

8.1 Service Availability

We strive to maintain platform availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects access.

8.2 Platform Changes

We reserve the right to modify, suspend, or discontinue any aspect of our Service with or without notice.

8.3 Terms Updates

We may update these Terms periodically. If we make material changes, we will provide reasonable advance notice by email or in-product notice where practicable. The updated Terms will be effective on the stated effective date. Your continued use after the effective date constitutes acceptance. If you do not agree to the updated Terms, you should stop using the Service and close your account.

9. Termination

9.1 Termination by You

You may close your account at any time through your account settings.

9.2 Termination by Us

We may suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases, and we may delete your account and content.

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimer

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

10.2 Limitation of Liability

To the maximum extent permitted by law, Kupydo and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service.

10.3 Maximum Liability

To the extent permitted by law, our total liability for all claims relating to the Service in any 12-month period is limited to the greater of CAD $50 or the amounts you paid to us for the Service in that period (if any).

10.4 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence), and your statutory rights as a consumer, where applicable, are not affected.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Kupydo harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. If you are a consumer and reside in a country where consumer protection laws require different terms (e.g., allowing you to bring claims in your local courts), those mandatory rights are not affected.

12.2 Dispute Resolution

If you have a dispute with us, contact us first at legal@kupydo.com and we will try to resolve it informally. Except where prohibited by law, any disputes that cannot be resolved informally will be resolved by binding arbitration seated in Ontario, Canada. Either party may bring a claim in small claims court in Ontario or in your place of residence (if permitted by that court’s rules) instead of arbitration. You may opt out of this arbitration agreement within 30 days of accepting these Terms by emailing legal@kupydo.com with your full name and account email. For consumers in the EEA, UK, or Switzerland, you may bring claims in the courts of your country of residence, and arbitration will not apply unless you agree to it after the dispute arises. The EU Online Dispute Resolution (ODR) platform is available at https://ec.europa.eu/consumers/odr/.

12.3 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes with us on an individual basis and waive any right to participate in class, collective, or representative actions.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Channel Rules, constitute the entire agreement between you and Kupydo.

13.2 Severability

If any provision is found unenforceable, the remainder of these Terms remains in effect.

13.3 Assignment

We may assign these Terms without notice. You may not assign your rights without our written consent.
